1. Agreement

These Terms of Service ("Terms") govern your access to and use of the SyncraOS website, products, and services (collectively, the "Services") provided by LIONS PERFORMANCE DIGITAL LLC, a Florida limited liability company ("SyncraOS," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding agreement to use the Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Accounts

Some features require an account. You agree to provide accurate, current, and complete information, and to keep your account credentials secure. You are responsible for all activity under your account. Notify us immediately at info-mail@syncraos.io if you suspect unauthorized access.

4. Subscription, Fees & Payment

Paid Services are offered on a subscription basis. Fees, billing cycles, and applicable taxes are presented at sign-up and may be updated from time to time with prior notice. Subscriptions automatically renew at the end of each billing period unless cancelled in your account settings before the renewal date. Except as required by law, all fees are non-refundable.

If you use the Services to send SMS, WhatsApp, email, or other messages, you are solely responsible for obtaining all required consents from recipients, complying with applicable laws (including the TCPA, CAN-SPAM, GDPR, CASL, and carrier guidelines), maintaining accurate opt-out mechanisms, and registering your sender identity (e.g., 10DLC) where required. Failure to comply may result in suspension or termination of your account.

7. Customer Data

You retain ownership of all data you submit to the Services ("Customer Data"). You grant us a limited, worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely as necessary to provide the Services. You represent and warrant that you have all rights and consents necessary for us to process Customer Data on your behalf.

8. Intellectual Property

The Services, including all software, designs, text, graphics, logos, and trademarks, are owned by SyncraOS or its licensors and are protected by U.S. and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services solely as permitted by these Terms.

9. Third-Party Services

The Services may integrate with third-party services (e.g., HighLevel, Meta, Google, payment processors). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services or for their availability, accuracy, or security.

10. Suspension & Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if you violate these Terms, fail to pay fees, or pose a risk to the Services or to other users. You may cancel your subscription at any time through your account settings. Upon termination, your right to use the Services ends immediately. We may retain certain information as required by law or for legitimate business purposes.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. ANY REVENUE-RELATED CLAIMS, CASE STUDIES, OR EXAMPLES PRESENTED ON OUR WEBSITE OR IN OUR MATERIALS REPRESENT PAST RESULTS AND ARE NOT GUARANTEES OF FUTURE PERFORMANCE.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SYNCRAOS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICES WILL NOT EXCEED THE FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless SyncraOS and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Services, (b) your Customer Data, (c) your violation of these Terms, or (d) your violation of any law or third-party right.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict of laws principles. Any dispute arising from or related to these Terms or the Services will be resolved exclusively in the state or federal courts located in Florida, and you consent to the personal jurisdiction of those courts.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date above and, where appropriate, notify you by email or through the Services. Your continued use of the Services after the changes take effect constitutes your acceptance of the updated Terms.
